1. Professional Role & Scope of Services
Bouamrane acts in the capacity of an Independent Project Management Representative. Our professional responsibilities encompass:
- Formulating baseline schedules and monitoring milestones (using critical-path governance).
- Structuring competitive contractor tenders and negotiating commercial agreements.
- Reviewing and certifying contractor payment claims against verified on-site installation.
- Auditing proposed variation requests to protect the client against unauthorized cost inflations.
- Conducting 3-stage snagging, defect rectification verification, and handover dossier management.
Bouamrane does not supply manual construction labor or act as the main engineering contractor. All physical works are carried out by appointed third-party contractors.
2. Client Responsibilities & Statutory Cooperation
To ensure project execution proceeds on schedule and within statutory guidelines, the client agrees to:
- Provide lawful property access permits, title deed certificates, and landlord authorizations necessary for statutory filings with Dubai Municipality, Civil Defence, and developer portals.
- Provide prompt written decisions on finish approvals, architectural selections, or technical trade appointments within agreed review windows (typically 3 business days).
- Release certified contractor milestone funds directly to appointed contractors upon Bouamrane's written verification of completed works.
3. Contractor Tendering & Commercial Contracts
All main contractors and sub-trades participate in competitive tenders under equal, transparent conditions. Bouamrane provides detailed comparative analyses and recommends appointments based on technical capability, track record, and financial viability. The commercial contract for execution remains directly between the property owner and the selected contractor, incorporating delay penalty and liquidated damages provisions recommended by Bouamrane.
4. Variation Governance ("Zero Unapproved Variations")
A core pillar of our management is the strict prohibition of verbal or uncertified site variations. Contractors are contractually barred from executing works outside the agreed Bill of Quantities (BOQ) without:
- A formal written Variation Request (VR) detailing precise technical rationale and market material pricing.
- Independent review and valuation certification by Bouamrane.
- Formal written authorization signed by the property owner before any physical alteration begins.
5. Payment Certifications & Retentions
Payments to contractors are released exclusively against completed milestones inspected and validated by Bouamrane. Advance payments are tied to bank guarantees or performance bonds where applicable. Standard defect liability retentions (typically 5% to 10%) are withheld until final completion and formal snag-list clearance.
6. Intellectual Property & Documentation
All proprietary project management systems, executive dashboard templates, tender comparison formats, and technical checklists developed by Bouamrane remain the intellectual property of Bouamrane. Clients retain full ownership of their specific architectural designs, property blueprints, and completion dossiers.
7. Limitation of Professional Liability
Bouamrane provides professional representation with the standard of care, diligence, and skill customary to experienced project managers in Dubai. In accordance with UAE law:
- Bouamrane's aggregate professional liability arising under or in connection with any individual instruction shall be strictly limited to the total professional fees received by Bouamrane for that instruction.
- Bouamrane shall not be liable for indirect, consequential, or economic loss resulting from contractor delays, third-party supplier insolvencies, or statutory regulatory moratoriums beyond our direct operational control.
8. Governing Law & Dispute Resolution
These Terms & Conditions and all contractual agreements entered into with Bouamrane for Project Management Services are governed exclusively by the laws of the Emirate of Dubai and the Federal Laws of the United Arab Emirates. Any dispute, claim, or controversy shall be subject to the exclusive jurisdiction of the competent Courts of Dubai.
